Terms of Use

By accessing or using this website or any Notenic services (the “Services”), you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Services.

The Services are operated by Havenga Capital LLC (“Notenic,” “we,” “us,” or “our”). References to “you” mean the individual or entity using the Services.

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to misuse the Services, including by attempting to gain unauthorized access, interfere with availability, scrape or harvest non-public information, or reverse engineer any protected components.

If you create an account, you are responsible for maintaining the confidentiality of credentials and for all activity under your account. You must promptly notify us of any unauthorized access or security incident affecting your account.

“Customer Content” means any data, text, files, prompts, or other materials you submit to the Services. You represent that you have the rights to submit Customer Content and that doing so does not violate law or third-party rights. You remain responsible for your Customer Content and for decisions you make based on outputs.

The Services may generate recommendations, analyses, or other outputs. Outputs may be incomplete, inaccurate, or inappropriate in certain contexts. You are responsible for evaluating outputs before relying on them, including by applying appropriate human review for high-risk, regulated, safety-critical, financial, legal, or customer-impacting decisions.

Notenic and its licensors own the Services, including software, documentation, and all related intellectual property. Except as expressly permitted, no rights are granted to you. “Notenic,” logos, and related marks are trademarks of Notenic.

The Services may integrate with third-party services (including model providers, APIs, and connectors). Third-party services are governed by their own terms and policies, and we are not responsible for third-party services or their availability.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTENIC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTENIC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY. NOTENIC’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID NOTENIC FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

We may suspend or terminate access to the Services if you violate these Terms or if we reasonably believe your use creates risk to the Services, other users, or third parties. Upon termination, your right to use the Services stops immediately.

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Venue for any dispute will be in Hillsborough County, Florida, unless otherwise required by applicable law.

We may update these Terms from time to time. The “Effective Date” above indicates when they were last updated. Your continued use of the Services after an update constitutes acceptance of the updated Terms.

Privacy Policy

This Privacy Policy explains how Notenic collects, uses, and shares information when you visit our website or use our Services. This policy does not cover third-party services you may connect to the Services.

We may collect: (1) contact information you provide (such as name, email, company); (2) account and authentication data; (3) usage data and device information (such as browser type, pages viewed, approximate location derived from IP); and (4) support communications. Where configured, customers may submit Customer Content to the Services as described in the Terms.

We use information to provide and secure the Services, authenticate users, provide support, improve performance and reliability, communicate with you, comply with legal obligations, and prevent fraud, abuse, and security incidents.

We may share information with service providers who help us operate the Services (e.g., hosting, analytics, security, customer support), with your organization (if you use an enterprise account), and as required by law or to protect rights, safety, and security. We do not sell personal information.

We may use cookies and similar technologies to operate the website, understand usage, and improve performance. You can control cookies through your browser settings; disabling cookies may affect site functionality.

We implement reasonable administrative, technical, and organizational measures designed to protect information. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

We retain information for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce agreements. Retention practices may vary depending on the Services configuration and customer requirements.

The Services are not directed to children under 13, and we do not knowingly collect personal information from children under 13. If you believe a child has provided personal information, contact us so we can take appropriate steps.
